Corporate Governance

Good Corporate Governance is about doing the right things for CTI Group and its shareholders. This has always been the priority of the Board of CTI Group. The ethical position of the Board pervades throughout the CTI Group organization such that every employee is accountable and is required to live up to those standards.

CTI Group also maintains a Code of Ethics (“Code”). The purpose of the Code is to deter wrongdoing, provide guidance to the company's directors, officers and employees and to promote the following:

  • honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships
  • full, fair, accurate, timely and understandable disclosure in reports and documents that the company files with, or submits to, the SEC and in other public communications made by the company
  • compliance with applicable governmental laws, rules and regulations
  • prompt internal reporting to an appropriate person or persons identified in the Code of violations of the Code
  • accountability for adherence to the Code
